Suremile Conditions of Carriage, Edition 1, 2026

SUREMILE TRANSPORT LTD · Registered in England and Wales, company number 17394385 · Registered office: 10 St. Katherines Walk, London, W11 4SJ · info@suremile.co.uk · 07346 815 273
In force from [IN-FORCE DATE]. These Conditions apply to business customers only.

IMPORTANT — PLEASE READ BEFORE YOU BOOK

These Conditions govern every consignment we carry. Three of them limit or affect your rights, and we draw them to your attention specifically:

  • Condition 9 limits our liability for loss of or damage to your goods to £1,300 per tonne on their gross weight, and never to more than what the goods are actually worth. On a 200 kg consignment that is £260, whatever the goods cost you.
  • Condition 10 lets you agree a higher limit with us before collection, for an additional charge. If your goods are worth more than condition 9 would pay, tell us before we collect and we will quote for a higher limit. If you do not, condition 9 applies.
  • Condition 11 sets short time limits for notifying and bringing a claim. A claim notified late may be refused however good it is.

You may prefer to insure the goods yourself. Either way, please satisfy yourself before booking that the cover in place matches what the goods are worth.

1. Definitions

1.1 In these Conditions:

"Suremile", "we", "us" and "our" mean Suremile Transport Ltd, company number 17394385.

"Customer", "you" and "your" mean the person, firm or company who contracts with us for the Carriage of a Consignment, whether on their own behalf or as agent for the owner of the goods.

"Carriage" means the collection, transport and delivery of a Consignment, together with any ancillary service we agree to provide.

"Carrier" means any third party engaged by us to perform all or part of the Carriage.

"Conditions" means these Suremile Conditions of Carriage, Edition 1, 2026.

"Consignment" means goods accepted from one collection address, at one time, for Carriage to one delivery address.

"Contract" means the contract between us and the Customer for the Carriage of a Consignment, formed on these Conditions.

"Gross Weight" means the weight of the goods in question as tendered for Carriage, including all packaging, pallets and load-carrying equipment.

"Working Day" means Monday to Friday excluding public holidays in England and Wales.

1.2 A reference to a statute or statutory provision is a reference to it as amended or re-enacted from time to time.

1.3 Headings are for convenience only and do not affect the interpretation of these Conditions.

2. Application of these Conditions

2.1 Subject to conditions 2.5 and 2.8, these Conditions apply to every Contract and to every Consignment we carry, to the exclusion of all other terms. No other terms are incorporated into the Contract.

2.2 We contract as principal, not as agent for any Carrier, unless we state in writing before the Contract is made that we are acting as agent on a particular job.

2.3 Business customers only. We contract only with customers acting in the course of a business. These Conditions are not offered for, and must not be used for, contracts with consumers.

2.4 How the Contract is formed. A Contract is formed when we accept your booking, whether in writing, by email, by telephone or by messaging service. By placing a booking you confirm that these Conditions have been made available to you and that you accept them.

2.5 Your own terms do not apply. Any terms you put forward — in a purchase order, a supplier agreement, a delivery note, a portal, a signature capture screen or otherwise — form no part of the Contract, whether or not we sign or return them, unless a director of Suremile agrees to them in writing and expressly refers to this condition 2.5.

2.6 Your authority. You warrant that you are either the owner of the goods in a Consignment or authorised by the owner to accept these Conditions, and that you accept them both on your own behalf and on behalf of the owner and of anyone else with an interest in the goods.

2.7 Where we carry. We carry within the United Kingdom. We do not offer carriage outside the United Kingdom. Any movement which crosses an international border, and any movement between Great Britain and Northern Ireland, is a matter for separate written agreement on a job-by-job basis, and is not covered by a booking made under these Conditions unless we have agreed to it in writing.

2.8 Precedence. Where we have signed a separate written agreement with you, that agreement prevails over these Conditions to the extent of any conflict, and these Conditions apply to everything the agreement does not cover.

3. Quotations, charges and VAT

3.1 Quotations are exclusive of VAT and are given as a single figure for the whole job.

3.2 A quotation is valid for 14 days from the date it is given, and is given on the basis of the information you supply. If the weight, dimensions, quantity, nature, collection point, delivery point, access or timing of the Consignment differs from that information, we may re-quote, and the revised charge applies.

3.3 Charges may be adjusted for waiting time, failed or aborted collections and deliveries, re-delivery, storage, returns, congestion and clean-air charges, tolls, ferry charges and parking or other penalty charges incurred through no fault of ours. Where a rate for these is published in your quotation, that rate applies; where it is not, we charge a reasonable amount and tell you before we incur it wherever it is practicable to do so.

3.4 Rates held for a period. Where we have agreed in writing to hold rates for a stated period, we will honour them for that period on the lanes and volumes stated.

4. Subcontracting and sub-bailment

This condition is central to how we operate. Please read it.

4.1 We subcontract Carriage. We are entitled to perform any part of the Carriage through a Carrier of our choosing, on any route and by any method we reasonably think fit. We remain responsible to you for the Carriage on these Conditions.

4.2 Your express consent to sub-bailment on these Conditions. You expressly authorise us to entrust the Consignment to a Carrier, and you agree that we may do so on terms which include these Conditions. You agree that every Carrier holds the Consignment on the terms of these Conditions, that each Carrier is entitled to the benefit of every exclusion, limit, defence and time bar in them, and that any claim you or the owner of the goods bring directly against a Carrier is subject to them. This authority is given by you both on your own behalf and on behalf of the owner of the goods and anyone else with an interest in them.

4.3 Benefit for our people and Carriers. Every exclusion, limit, defence and time bar in these Conditions is available to our employees, agents and Carriers, and to their employees and agents, as fully as it is available to us. Those parties may enforce this condition 4.3 and condition 4.2 under the Contracts (Rights of Third Parties) Act 1999. No other person has any right to enforce any term of the Contract under that Act, and we and you may vary or rescind the Contract without their consent.

4.4 No further subcontracting without consent. A Carrier may not subcontract the Carriage onwards without our prior written consent.

5. Your obligations and warranties

5.1 You warrant that, for every Consignment:

(a) the description, weight, dimensions, quantity and nature of the goods you give us are complete and accurate;

(b) the goods are properly and sufficiently packed, labelled and secured for the Carriage requested, and for handling by a single person unless you have told us otherwise and we have agreed;

(c) the goods are lawful to carry, are not subject to any restriction that you have not told us about, and their Carriage will not breach any law or regulation;

(d) the goods do not fall within condition 6.1 unless we have agreed in writing to carry them;

(e) you have told us in writing, before collection, of anything about the goods that requires special handling, temperature control, security, licensing or documentation; and

(f) safe and lawful access is available at the collection and delivery points for a vehicle of the type booked, and any permit, permission or site induction required is in place.

5.2 Indemnity. You will indemnify us against all loss, damage, cost, claim, fine, penalty and expense we suffer arising from a breach of condition 5.1, including any claim by a third party.

5.3 Loading and unloading. Unless we have agreed otherwise in writing, loading at the collection point and unloading at the delivery point are your responsibility, or that of your customer or the site. Where our driver assists, they do so at your risk, and we are not liable for loss or damage caused by that assistance except to the extent it results from our negligence.

6. Goods we do not accept

6.1 We do not carry the following unless we have expressly agreed in writing before collection:

(a) money, negotiable instruments, securities, bullion, precious metals or stones, jewellery, watches, antiques, works of art and collectables;

(b) living creatures, human remains, and human or animal tissue or samples;

(c) dangerous, hazardous, explosive, radioactive, flammable, corrosive, toxic or noxious goods, and anything classified for carriage under the Carriage of Dangerous Goods and Use of Transportable Pressure Equipment Regulations 2009 or their Northern Ireland equivalent;

(d) firearms, ammunition, weapons and their parts;

(e) tobacco products, alcohol, prescription and controlled drugs, and pharmaceuticals;

(f) goods requiring temperature control;

(g) waste of any description.

6.2 If a Consignment is tendered in breach of condition 6.1 we may, without notice and at your cost, refuse it, unload it, return it, store it, destroy it or otherwise dispose of it, and you remain liable for the full charge for the job and for any loss, damage, cost or penalty we incur.

6.3 We may decline any Consignment. We are not obliged to accept a booking, and we may decline one at any time before collection without giving a reason. Where we decline after accepting, our only liability is to refund any charge you have paid for that job.

7. Collection and delivery

7.1 Timings are estimates. Collection and delivery times, dates and windows we give are estimates given in good faith. Time is not of the essence of the Contract unless we have agreed a guaranteed time in writing and identified it as guaranteed.

7.2 Delivery is complete when the Consignment is tendered at the delivery address given in the booking and a signature or other proof of delivery is obtained from any person present who appears authorised to receive it, or when it is delivered in accordance with any written instruction you have given us.

7.3 Unattended and unsigned deliveries. If you instruct us to deliver without a signature, to leave a Consignment in a safe place, with a neighbour or at a site without a receiving party, we will follow that instruction, and the Consignment travels and is left entirely at your risk from the point it is left. We are not liable for loss or damage after that point.

7.4 If delivery cannot be made — no one is there to receive the Consignment, access is refused or unavailable, or the receiving party refuses it — we will tell you and take your instructions. Waiting time, storage, re-delivery and return are chargeable under condition 3.3.

7.5 Consignment notes and POD. A signature on a delivery note, hand-held terminal or site record is evidence of delivery in apparent good order and condition, and of the number of items delivered, unless a specific and legible note of loss or damage is recorded on it at the time.

8. Payment

8.1 Payment before collection. Every job is payable in cleared funds before collection, unless a credit account is in place under condition 8.2.

8.2 Credit accounts. Credit terms are available on written application. We may ask for trade and bank references, a credit check, and details of the goods and volumes involved, and we may decline an application without giving a reason. A credit account comes into existence only when we confirm it in writing. That confirmation states the credit limit and the payment period, and those terms then apply in place of condition 8.1.

8.3 Invoices on a credit account are payable in full within the period stated in our written confirmation, without deduction.

8.4 We may reduce, suspend or withdraw a credit account at any time by written notice, including where the credit limit is exceeded or an invoice is overdue. From the date of that notice, condition 8.1 applies again to every job.

8.5 No set-off. You must pay all sums due in full without deduction, set-off, counterclaim or withholding of any kind, whether or not a claim under condition 11 is outstanding. A claim about one Consignment is not a reason to withhold payment for another.

8.6 Late payment. Where an invoice is not paid when due we are entitled to statutory interest and to fixed-sum compensation and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. Statutory interest runs at 8% above the Bank of England base rate in force on the 30 June or 31 December before the interest starts to run, and the fixed sums are £40 for a debt under £1,000, £70 for a debt of £1,000 or more but under £10,000, and £100 for a debt of £10,000 or more. Nothing in these Conditions excludes or restricts any right to statutory interest under that Act.

8.7 Suspension. Where any sum is overdue we may suspend further Carriage, and hold or return any Consignment then in our hands, until payment is made. We will tell you before we do so.

8.8 VAT. All sums are exclusive of VAT, which is payable in addition at the rate in force at the tax point.

9. Our liability for loss of or damage to goods — THE LIMIT

This condition limits what we pay. Read it with condition 10.

9.1 Subject to the rest of these Conditions, we are liable for physical loss of, damage to, or misdelivery of a Consignment while it is in our care, where that loss, damage or misdelivery is caused by our negligence or breach of contract.

9.2 Our liability for any one Consignment is limited to the lower of:

(a) £1,300 per tonne on the Gross Weight of the goods lost, damaged or misdelivered, pro rata for any part of a tonne; and

(b) the cost of repairing the damage, or of replacing the goods with goods of the same kind and condition, whichever is the lower.

9.3 In no case does our liability exceed the invoice value of the goods lost or damaged, or their market value at the time and place of collection if that is lower.

9.4 The limit in condition 9.2 is set at the figure used in the Road Haulage Association Conditions of Carriage, the most widely used standard terms in UK road haulage. We tell you what it is before you book, and condition 10 gives you a way to raise it. If the goods are worth more than condition 9.2 would pay, please use condition 10 or insure the goods yourself.

9.5 Delay. Where we have agreed a guaranteed time in writing under condition 7.1 and fail to meet it, our liability is limited to the charges for that job. We are not otherwise liable for delay.

9.6 What we are never liable for. We are not liable in any circumstances for loss of profit, loss of revenue, loss of contract, loss of production, loss of anticipated saving, loss of or damage to goodwill or reputation, wasted expenditure, fines or liquidated damages payable by you to a third party, or any indirect or consequential loss, however it arises and whether or not it was foreseeable.

9.7 What this condition does not limit. Nothing in these Conditions limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else which cannot lawfully be limited or excluded.

10. A higher limit, if you want one

10.1 You may agree a higher limit of liability with us for any Consignment. To do so, tell us in writing before collection what the goods are worth and what limit you want. We will quote an additional charge for that limit. The higher limit applies only once we have confirmed it in writing and you have accepted the additional charge.

10.2 A higher limit agreed under this condition replaces the figure in condition 9.2(a) for that Consignment only. The rest of these Conditions, including conditions 9.1, 9.2(b), 9.3, 9.5, 9.6, 9.7, 11 and 12, continue to apply.

10.3 If you do not ask for a higher limit, condition 9.2 applies. We offer this option on every job and record every time it is offered.

10.4 We are not an insurance broker and we do not arrange insurance for you. Where you need cover beyond what these Conditions provide, arrange it through your own insurer or broker.

11. Claims — notice and time limits

Late notice may cost you the claim.

11.1 Damage, partial loss or misdelivery. You must give us written notice within 3 Working Days of delivery, and a detailed claim in writing within 14 days of delivery.

11.2 Loss of a whole Consignment or non-delivery. You must give us written notice within 14 days of the date the Consignment should have been delivered, and a detailed claim in writing within 28 days of that date.

11.3 Delay. You must give us written notice within 3 Working Days of delivery.

11.4 Longstop. We are released from all liability in respect of a Consignment unless proceedings are brought within 12 months of the date of delivery, or of the date the Consignment should have been delivered.

11.5 Where a time limit is not met, we are not liable, unless you can show that it was not reasonably possible for you to comply and that you gave notice as soon as it was.

11.6 Evidence. A claim must be supported by the consignment reference, the delivery documentation, evidence of the value of the goods, and photographs of the goods and packaging where damage is alleged. Keep the goods and the packaging and make them available for inspection until the claim is settled or withdrawn.

11.7 Notice under this condition must be given to info@suremile.co.uk, or to the address at the head of these Conditions. Notice by telephone or messaging service is not written notice, but we will always act on it straight away.

12. Matters beyond our control

12.1 We are not liable for loss, damage, delay or failure to perform caused by anything outside our reasonable control, including: act of God; war, terrorism, riot or civil commotion; strike, lockout or industrial action; fire, flood, storm, snow, ice or extreme weather; epidemic or pandemic; road closure, accident, traffic or port congestion; power, fuel or telecommunications failure; theft or robbery with violence or the threat of it; seizure or detention by any authority; act or omission of you, the owner of the goods, the receiving party or any site; or compliance with any law, regulation or order.

12.2 We are not liable for loss, damage or deterioration arising from: inherent vice, defect or natural quality of the goods; insufficient or unsuitable packing, labelling or securing; inadequate or inaccurate addressing or instructions; wastage in bulk or weight; or handling, loading or unloading carried out by you, the owner, the receiving party or the site.

12.3 Where an event under condition 12.1 continues for more than 30 days, either of us may cancel the affected Carriage by written notice, and you remain liable for work already done and costs already incurred.

13. Lien, storage and uncollected goods

13.1 We have a general lien over every Consignment and every document relating to it in our possession, for all sums due to us from you on any account, whether relating to that Consignment or not.

13.2 Where a Consignment cannot be delivered, or is returned to us, or is held under condition 13.1, we may store it at your cost and risk, and reasonable storage and handling charges apply from the day after it comes into store.

13.3 Uncollected goods. Where you are in breach of an obligation to take delivery of a Consignment, or where we cannot trace or communicate with you, we may sell the goods under section 12 of the Torts (Interference with Goods) Act 1977, having given you notice in the form and with the notice period that Schedule 1 to that Act requires, or apply to the court for authority to sell under section 13 of that Act. We will account to you for the proceeds of sale less the costs of sale and, so far as the law allows, all sums you owe us.

14. Cancellation and aborted jobs

14.1 More than 24 hours' notice — no charge. You may cancel a booking free of charge by giving us more than 24 hours' notice before the start of the booked collection window.

14.2 24 hours' notice or less — 50%. Where you cancel with 24 hours' notice or less, and no vehicle has yet been despatched to collect, 50% of the price for the job is payable.

14.3 Once a vehicle is on its way — the full charge. Where a vehicle has been despatched, or has arrived at the collection point, and the job is then cancelled, or the Consignment is not ready, not available or not as described, the full charge for the job is payable, together with waiting time under condition 3.3.

14.4 Where we cancel a booking, our only liability is to refund any charge you have paid for that job.

15. Data protection

15.1 Each of us will comply with the UK GDPR and the Data Protection Act 2018 in connection with the Contract.

15.2 We process the personal data you give us — names, contact details, addresses, and signatures captured at delivery — to perform the Carriage, to keep proof of delivery, to invoice, and to meet our legal obligations. Our privacy notice at suremile.co.uk/privacy explains this in full.

15.3 Where we pass personal data to a Carrier, we do so only so far as is necessary to perform the Carriage.

16. General

16.1 Notices. Notices under the Contract must be in writing and sent by email to info@suremile.co.uk, or by post to our registered office. Notices to you go to the email address or postal address on your account.

16.2 Variation. No variation of the Contract or these Conditions is effective unless it is in writing and signed by a director of Suremile.

16.3 Waiver. A failure or delay in exercising a right is not a waiver of it, and does not prevent its later exercise.

16.4 Severance. If any provision of these Conditions is found to be unlawful or unenforceable, it is severed to the minimum extent required and the remainder continues in force.

16.5 Assignment. You may not assign or transfer the Contract without our written consent. We may assign or transfer the Contract, and may subcontract its performance under condition 4.

16.6 Third parties. Except as set out in condition 4.3, no person other than you and us has any right to enforce any term of the Contract.

16.7 Entire agreement. The Contract, together with the quotation and booking confirmation for the Consignment, any signed customer account form and any separate written agreement under condition 2.8, is the entire agreement between us and supersedes anything said or written before it. Neither of us relies on any statement not set out in it. Nothing in this condition limits liability for fraudulent misrepresentation.

17. Governing law and jurisdiction

17.1 The Contract, and any dispute or claim arising out of or in connection with it, is governed by the law of England and Wales.

17.2 The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
